COMPANY SECRETARY (CS)
Location: MumbaiReporting: Board of Directors/Chief Executive Officer
Role and Responsibilities:
- Ensure compliance with the Companies Act 2013, Secretarial Standards, and other applicable laws.
- Convene and manage Board, Committee, and Shareholder meetings, including preparation of notices, agendas, minutes, and resolutions.
- Maintain statutory records, registers, and filings with RBI, SEBI, ROC, MCA and other regulatory authorities.
- Advise the Board and Management on corporate governance and regulatory matters.
- Coordinate with regulators, auditors, legal advisors, trustees, stock exchanges, depositories, and other stakeholders.
- Assist in policy formulation, governance frameworks, and regulatory reporting.
- Support debt issuance, debt listing, securitisation, RMBS/PTC transactions, and related Board approvals, wherever applicable.
Eligibility Criteria:
- Member of the Institute of Company Secretaries of India (ICSI).
- 5–10 years of post-qualification experience, preferably with an NBFC, HFC, Bank, Financial Institution, or other regulated entity.
- Strong knowledge of the Companies Act, 2013, corporate governance, and regulatory compliance.
- Experience in RBI-regulated entities will be preferred.
Preferred Profile:
- Exposure to debt listing, capital market transactions, securitisation, structured finance, RMBS/PTC transactions, or trustee-related compliances.
- Familiarity with RBI, SEBI, ROC, and stock exchange regulatory requirements.
- Strong drafting, stakeholder management, and communication skills.
Compensation:
Compensation shall be market-linked and commensurate with qualifications, experience, and overall suitability for the role.

CHIEF EXECUTIVE OFFICER (CEO)

Role and Responsibilities:
As the Chief Executive Officer (CEO), the incumbent will be expected to direct strategy and initiatives to foster financially sustainable growth and drive profitability in line with the vision and mission of the organization. The CEO will work closely with the Board of Directors to build the organization, act as the key point of contact for internal & external stakeholders, and be the driving force of the business. The ideal candidate for this position should be a bona fide professional in financial services with additional knowledge of residential mortgage-backed securitisation (RMBS) and the functioning of debt markets, with a good understanding of the issuers and investors. The candidate should also have previous corporate management experience and a proven track record for effective team management and results-driven leadership. He will hold responsibility to drive the vision, values, and corporate culture of the organization.
The incumbent will be expected to:
- Provide leadership in achieving RDCL’s mandate of developing the RMBS market in India.
- Formulate and implement business strategies, policies, and annual operating plans.
- Ensure compliance with RBI regulations, Companies Act requirements, and other applicable laws.
- Manage stakeholder relationships with regulators, shareholders, investors, lenders, originators, trustees, rating agencies, and market participants.
- Drive business growth, innovation, and operational excellence while maintaining robust risk management and governance standards.
- Represent RDCL before regulatory authorities, industry bodies, and other stakeholders.

Eligibility Criteria:
- Graduate from a recognized university. Postgraduate qualification in Finance, Management, Economics, Law, Banking, CA, CFA, CS, ICWA, or any equivalent professional qualification will be preferred.
- Minimum 20 years of relevant experience in Banking, Housing Finance, NBFCs, Financial Markets, Securitisation, Treasury, Risk Management, Investment Banking, Capital Markets, or related financial services sectors.
- At least 10 years of experience in a senior management or leadership position.
- Proven track record in strategic leadership, business development, financial sector management, and stakeholder engagement.
- Sound knowledge of the regulatory and legal framework governing securitisation transactions, including applicable RBI regulations, NBFC regulations, transfer of loan exposures, the Companies Act, SEBI regulations (where applicable), and other relevant financial sector laws.
- Thorough understanding of risk management, corporate governance, regulatory compliance, and financial management.
- Ability to engage effectively with regulators, originators, investors, trustees, rating agencies, financial institutions, and other stakeholders.
- Must satisfy the ‘Fit and Proper’ criteria prescribed by the Reserve Bank of India and other applicable regulatory requirements.
- Preference will be given to persons with demonstrated experience and expertise in securitisation and structured finance transactions, including Pass Through Certificates (PTCs), Residential Mortgage-Backed Securities (RMBS), credit enhancement structures, and related financial products.
